Terms of Service

These Terms of Service ("Terms") govern your access to and use of GentleCase software and services (the "Service") provided by GentleCase, Inc. ("GentleCase"). By signing up for or using the Service, you agree to be bound by these Terms on behalf of your law firm ("Firm").
1. Eligibility and Account
You must be a licensed attorney, authorized staff member, or administrator of a law firm to create an account. You are responsible for all activity under your account and for maintaining the confidentiality of your credentials.
2. Description of Service
GentleCase provides cloud-based immigration case management software, including but not limited to client record management, case tracking, document management, secure messaging, and a client-facing portal. Feature availability depends on your subscription plan.
3. Subscription and Payment
Subscriptions are billed per attorney on a monthly or annual basis. Annual subscriptions are paid upfront and are non-refundable except as required by law. Monthly subscriptions may be cancelled at any time; the cancellation takes effect at the end of the billing period. GentleCase reserves the right to modify pricing with 30 days' written notice to active subscribers.
4. Free Trial
GentleCase may offer a 30-day free trial. No credit card is required to start a trial. At the end of the trial, continued access requires a paid subscription. GentleCase reserves the right to modify or discontinue the trial offering.
5. Acceptable Use
You agree not to:
- Use the Service to process data for any firm or individual not under your legal representation.
- Share login credentials between attorneys or staff who each require their own seat.
- Attempt to reverse-engineer, scrape, or systematically extract data from the Service.
- Upload malware, illegal content, or content that infringes third-party intellectual property.
- Use the Service in any way that violates applicable law, including attorney ethics rules.
6. Data Ownership and Portability
Your firm owns all client data you upload to GentleCase. GentleCase claims no intellectual property rights over that data. You may export all data at any time using the platform's export tools, or by contacting support@gentlecase.com. Upon account termination, we retain data for 90 days to allow export, then permanently delete it.
7. Confidentiality and Attorney-Client Privilege
GentleCase operates as a technology vendor to your firm. Content transmitted through the platform retains any applicable attorney-client privilege. GentleCase employees do not access client data except as required for technical support with your explicit authorization, and all such access is logged.
8. Service Availability
GentleCase targets 99.9% monthly uptime for Pro plan subscribers and 99.95% for Enterprise plan subscribers, as defined in the applicable SLA. Planned maintenance windows are communicated at least 48 hours in advance. Downtime credits, if applicable, are the sole remedy for availability failures.
9. Intellectual Property
GentleCase and its licensors own all intellectual property rights in the Service, including the software, design, and documentation. These Terms do not transfer any ownership rights to you. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription term.
10. Limitation of Liability
To the maximum extent permitted by law, GentleCase's total liability for any claim arising from these Terms or your use of the Service is limited to the fees you paid in the three months preceding the claim. GentleCase is not liable for indirect, incidental, consequential, or punitive damages.
11. Indemnification
You agree to indemnify and hold GentleCase harmless from claims arising from your use of the Service in violation of these Terms, applicable law, or third-party rights.
12. Termination
Either party may terminate for convenience with 30 days' written notice. GentleCase may suspend or terminate access immediately if you materially breach these Terms, fail to pay, or if continued service would violate applicable law.
13. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Disputes will be resolved in the state or federal courts located in Harris County, Texas.
14. Changes to Terms
We will notify active subscribers at least 30 days before material changes take effect. Continued use after the effective date constitutes acceptance.
